1. Acceptance of Terms

By accessing or using Assetly ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service.

2. Proprietary Software

Assetly is proprietary software. All rights are reserved by Assetly and its licensors. The software, its source code, design, and associated materials are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your organisation's internal asset management purposes.

You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or otherwise exploit any part of the Service without express written permission from Assetly.

3. Access & Authorisation

Access to Assetly is by invitation only. Accounts are provisioned and managed by your organisation's Super Admin. New user registrations are held as pending until explicitly approved by an Admin or Super Admin. Assetly reserves the right to suspend or terminate access at any time for any reason, including but not limited to violation of these Terms.

4. User Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to:

  • Provide accurate information when registering and using the Service
  • Notify your organisation administrator immediately of any unauthorised access
  • Use the Service only for its intended purpose of asset management
  • Comply with your organisation's internal policies regarding data and access

5. Prohibited Uses

You may not use the Service in any way that:

  • Violates any applicable local, national, or international law or regulation
  • Infringes on the intellectual property rights of Assetly or any third party
  • Attempts to gain unauthorised access to any part of the Service or its infrastructure
  • Introduces malware, viruses, or any other harmful code
  • Is covered by the Ethical Use Policy restrictions

6. Intellectual Property

All content, features, functionality, branding, and design of the Service — including but not limited to text, graphics, logos, icons, and code — are the exclusive property of Assetly and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to use Assetly's trademarks, trade names, or branding without prior written consent.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Asset data, user profiles, and organisation settings are stored in your organisation's Supabase instance and are subject to its data residency and retention policies. Assetly does not sell or share your data with third parties.

8. Disclaimer & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. Assetly does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Assetly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.

9. Changes to Terms

Assetly reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. Significant changes will be communicated to active users.
